1. Overview

Welcome to Marci. Marci is an AI-powered personal assistant that generates contextual, personalized interfaces by connecting your apps, data, and daily routines into one fluid experience.

By accessing or using Marci (including our website, mobile application, and any related services), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use Marci.

2. Account Registration

To use Marci, you must create an account. You agree to:

Be at least 13 years of age (or the minimum age required in your jurisdiction)
Provide accurate, current, and complete information during registration
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activity that occurs under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. License to Use Marci

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use Marci for your personal, non-commercial purposes.

This license does not include the right to sublicense, sell, resell, or commercially exploit any aspect of Marci. We reserve all rights not expressly granted to you.

4. Prohibited Conduct

You agree not to:

Use Marci for any illegal purpose or in violation of any applicable laws
Infringe upon or violate the intellectual property rights of others
Harass, abuse, threaten, or intimidate other users
Post, share, or transmit content that is obscene, hateful, sexually explicit, or that promotes violence or self-harm
Post, share, or transmit content that sexualizes a minor or endangers a child in any way
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Marci
Scrape, mine, or use Marci's content or outputs to train AI or machine learning models
Attempt to bypass, disable, or circumvent any security features or access controls
Use automated systems, bots, or scripts to access Marci without our express written permission
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Upload, transmit, or distribute any malware, viruses, or other harmful software
Use Marci in any way that could damage, disable, overburden, or impair our servers or networks

5. Shared Spaces and Objectionable Content

Marci has shared spaces, where you and the people you invite can talk and work together. We have no tolerance for objectionable content or for abusive users in them. Content that is harassing, threatening, hateful, obscene or sexually explicit, that sexualizes a minor or endangers a child, that promotes violence or self-harm, or that a reasonable person would find objectionable, is not permitted — and neither is conduct directed at another person that a reasonable person would find abusive.

You do not have to wait for us to act. Any message in a shared space can be reported from the message itself, and any person in a space you share can be blocked from that space's member list. Blocking takes effect immediately: their messages and their notifications stop reaching you.

You can also report content or a person to us at abuse@getmarci.ai. We review every report within 24 hours and act on what we find, which may include removing the content, restricting an account's access to shared spaces, or suspending or terminating the account. Where we judge it necessary to protect someone, we will remove content and suspend accounts without notice beforehand.

An account terminated for abuse is terminated permanently, and we may decline to provide Marci to the person behind it again.

6. Your Content

You retain all ownership rights in the content you provide to Marci ("Your Content"), including text, images, voice recordings, and data from connected integrations.

By using Marci, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing, improving, and maintaining the Marci service. We will not sell Your Content or use it for purposes unrelated to the service.

You are responsible for ensuring you have the right to share any content you provide to Marci, including content from third-party integrations.

7. AI Processing and AI-Generated Content

7.1 What we send to AI providers

Marci works by sending what you give it to third-party AI providers, which process it and return a result. This includes the messages you write, photos and files you share, and data from the accounts you connect, such as calendar events, emails and health metrics, where that data is needed to answer you or to build and update an app for you.

At sign-in, you confirm that you are at least 13 years old and accept these Terms and the Privacy Policy. This confirms your age and acceptance of these documents; it is not a separate permission for AI processing. This section explains how AI processing works and does not replace any separate disclosure or permission required for access to or use of your data.

You choose which content to share and which accounts and device sources to connect. You can disconnect a source or revoke its permissions to stop further access. This does not delete data already stored by Marci. To request deletion of your account or selected data, see Account deletion and the Privacy Policy.

Our AI providers are listed by category in the Privacy Policy, which also names the ones currently in use. Providers may change as the Service develops, and we will keep that list current.

We do not sell your information, and we do not permit our AI providers to use what you send through Marci to train their general-purpose models.

7.2 What comes back

Marci uses artificial intelligence to generate responses, suggestions, interfaces, and other outputs ("AI-Generated Content"). You acknowledge and agree that:

AI-Generated Content is provided "as-is" and may contain errors, inaccuracies, or biases
AI-Generated Content may not be eligible for copyright protection under applicable law
You should review and verify AI-Generated Content before relying on it for important decisions
The AI models and providers powering Marci may change over time, which could affect outputs
We do not guarantee the accuracy, completeness, or reliability of any AI-Generated Content

7.3 Health and wellness

Marci's health features are for general wellness only. Marci is not a medical device and does not diagnose, treat, cure, or prevent any medical condition. Consult a qualified healthcare professional for medical advice.

This applies to health-related apps, summaries, and suggestions generated by Marci. They are not a substitute for professional medical advice, diagnosis, or treatment. Do not delay seeking medical care because of information provided by Marci.

8. Third-Party Services

Marci integrates with third-party services such as Google (Gmail, Calendar), Notion, Strava, and others. When you connect these services:

Your use of those services remains subject to their respective terms of service and privacy policies
We are not responsible for the availability, accuracy, or functionality of third-party services
You authorize Marci to access and process data from connected services on your behalf
You may disconnect integrations at any time through your account settings

We do not endorse and are not liable for any third-party services or their content.

9. Dispute Resolution

Any disputes arising out of or relating to these Terms or the use of Marci shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and shall take place in the State of Delaware, unless otherwise agreed upon by the parties.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARCI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO MARCI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

MARCI IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Termination

You may terminate your account at any time by contacting us or through your account settings.

We may suspend or terminate your access to Marci at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violations of these Terms, fraudulent activity, or extended periods of inactivity.

Upon termination, your right to use Marci will immediately cease. Provisions of these Terms that by their nature should survive termination (including limitation of liability, dispute resolution, and intellectual property provisions) shall survive.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice within the service.

Your continued use of Marci after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using Marci and close your account.
